These Terms of Service ("Terms") govern your access to and use of the services, websites, and applications offered by Catalogus (the "Service"). Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. By accessing or using the Service you agree to be bound by these Terms. These Terms apply to all visitors, users and others who access or use the Service.

If you disagree with any part of the terms then you may not access the Service. The domain name www.catalogus.in (hereinafter referred to as "Website") is owned by Sombrero Digital Commerce Private Limited a company incorporated under the Companies Act, 2013, India (hereinafter referred to as "Catalogus") with its registered address at: 488/3-A-5, Plot No. 7, Block D, Dilshad Garden, Shahdara, East Delhi, Delhi – 110095 and having CIN: U74999DL2022PTC399469.

Our Service may contain links to third-party web sites or services that are not owned or controlled by Catalogus.

Catalogus has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that Catalogus shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.

Online orders on Catalogus powered catalogues:

Any orders placed on an online ordering platform powered by Catalogus are subject to fulfilment by the Merchant. Catalogus only facilitates catalogue syncing and distribution and does not own the catalogue content. Responsibility of ensuring correctness and completeness of catalogue as per Rules and Regulations of India will be sole responsibility of the entity sharing the catalogue with Catalogus.

Payment/Billing Cycle

The payment cycle starts on the day the catalogue is shared with us. All invoices will be raised on the same date of the preceding months. The invoice would be raised on the day of due and the payment would have to be completed within 15 days of mailing the invoice post which the services would be discontinued and any data stored in Catalogus databases would be destroyed. A reminder would be sent 5 days before the due date.

Tax Deducted at source

All payments for Catalogus invoices have to be processed in full without deducting TDS. At the end of every quarter, clients can submit the proofs for any TDS paid to the government and the same will be processed as a refund within 7 working days.

Working Hours

• We are available from Monday-Friday barring any holidays from 10 AM - 6 PM.

• All specialized reporting requests and bugs or technical issues will be serviced in 2 working days.

Period of Notice.

Either party may terminate this contract at any time for any reason, upon presentation of a 30 days notice given to the other party. But in case of the failure, inaccuracy, or breach of any clauses set out in this agreement, either party may terminate this agreement with immediate effect by delivering notice of the termination to the other.

Catalogus' Intellectual Property

All copyright, designs, patent, trademarks, trade names, and other intellectual property rights ("IPR") in and to Catalogus or displayed on the Website are and shall remain the exclusive property of Catalogus.

Use of Data & Security

Catalogus can use insights from customer's account in whatever manner Catalogus may in its discretion choose (but not to be used in any other's client's account who sells similar products). Such insights cannot contain personally identifiable information of the customer or its customers without the customer's expressed permission. No proprietary information about your campaigns will be shared with third parties.

Catalogus can also use aggregated catalogue data in training AI data models and using this aggregated data to build modules for various catalogue enhancement services.

Non-Compete

Clients should not share Catalogus' agreements/projections with any 3rd party agency. Catalogus will also ensure that client catalogues are not shared with any other client.

Governing law

These Terms shall be governed and construed in accordance with the laws of Gurugram, India, without regard to its conflict of law provisions.

Content displayed on website is for representation purposes only and is subject to change. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have between us regarding any service.

Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
